Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Yoata website and services operated by [Legal Entity Name](“Yoata”, “we”, “us”), a company registered in Nepal with its principal place of business at [Registered Address], Kathmandu, Nepal. By creating an account, requesting a quote, or licensing a dataset, you agree to these Terms. If you are entering into these Terms on behalf of a company, you confirm you are authorised to bind that company.

1. What we provide

Yoata offers (a) ready-made datasets — pre-recorded, annotated robotic-manipulation training data licensed for AI/ML development; and (b) custom data collection — bespoke datasets we record and annotate to your specification. Our service is intended for businesses and professional users, not consumers.

2. Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and use the service for business purposes.

3. Quotes, orders and payment

The website does not process payments. When you submit a dataset or custom-collection request, you are asking us for a quote — not placing a binding order. A contract is formed only when we issue a quote and you accept it in writing, and any applicable fees are paid by the method we specify (currently arranged off-platform). Quotes are valid for the period stated in them and may be revised or withdrawn before acceptance. Prices are exclusive of any taxes, duties, or withholding that may apply, which are your responsibility unless we state otherwise.

4. Licence to ready-made datasets

Subject to full payment and these Terms, we grant you a non-exclusive, non-transferable, worldwide, perpetual licence to use the purchased dataset internally to develop, train, evaluate, and deploy machine-learning and AI models, including for commercial products, unless your quote states otherwise.

You may not:

  • resell, sublicense, publish, or redistribute the dataset itself (in whole or in substantial part), or make it available as a standalone dataset to any third party;
  • use the dataset to attempt to identify, re-identify, contact, surveil, or infer sensitive attributes about any individual appearing in it;
  • remove proprietary notices, or use the data unlawfully or in breach of the Acceptable Use section below.

Trained model weights you produce are yours; the underlying dataset remains ours. [Confirm your intended licence scope with a lawyer — e.g. whether buyers may redistribute derived data or must credit Yoata.]

5. Custom data-collection commissions

Custom collections are performed to the specification agreed in your accepted quote (statement of work). Because they are produced to order, the fees for a custom collection are non-refundable once collection has commenced (see our Refund & Cancellation Policy). Unless the quote states otherwise, we retain ownership of the collected dataset and grant you the licence described in Section 4; exclusive rights, if any, must be agreed in writing.

6. Delivery

After payment is confirmed, we make the dataset available to you via a private download link shown on your order page. You are responsible for downloading and securely storing the data within any access window we communicate. Delivery is complete when the link is made available to you.

7. Intellectual property

Yoata and its licensors own all rights in the datasets, the website, and all related materials. These Terms grant you a licence to use datasets as described — not any transfer of ownership. All rights not expressly granted are reserved.

8. Acceptable use

You agree not to:

  • violate any law or third-party right;
  • re-identify or attempt to contact individuals depicted in the data;
  • use the data to develop unlawful surveillance, biometric identification, or other systems prohibited by applicable law;
  • probe, scrape, overload, or attempt to gain unauthorised access to the service; or
  • resell or redistribute datasets in breach of Section 4.

9. Warranties and disclaimers

We provide the service and datasets on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that a dataset will meet your model-performance requirements or be error-free.

10. Limitation of liability

To the maximum extent permitted by law, Yoata will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the service or a dataset will not exceed the amount you paid to us for the dataset or engagement giving rise to the claim in the 12 months preceding the event.

11. Indemnification

You will indemnify and hold Yoata harmless from claims, losses, and expenses arising from your use of a dataset or the service in breach of these Terms or applicable law.

12. Confidentiality

Each party will protect the other’s non-public information shared in connection with a quote or engagement and use it only to perform under these Terms.

13. Term and termination

We may suspend or terminate your access for breach of these Terms. On termination, licences granted for datasets already paid for survive in accordance with their terms; all other rights cease. Sections that by their nature should survive (IP, disclaimers, liability, governing law) survive termination.

14. Governing law and disputes

These Terms are governed by the laws of [Nepal / your chosen governing-law jurisdiction], and the courts of [Kathmandu, Nepal / chosen venue] have exclusive jurisdiction, without regard to conflict-of-laws rules. [Selling to EU/US customers can attract mandatory local consumer and data-protection law regardless of this clause — confirm the right governing-law and dispute-resolution approach with a lawyer.]

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a revised “Last updated” date; continued use after changes take effect constitutes acceptance.
